01Acceptance of Terms
By accessing or using the Synthesis platform ("Service") operated by Synthesis Intelligence, Inc. ("we," "us," or "our"), you agree to be bound by these Terms of Service. If you do not agree, do not use the Service.
02Description of Service
Synthesis is a multi-channel strategic intelligence platform that connects to your e-commerce data sources (including Amazon, Shopify, TikTok, Meta and Google Ads) to provide analytics, insights, and AI-powered recommendations. The Service includes dashboards, an AI strategy advisor, data synchronization, and reporting tools.
03Account Registration
To use the Service, you must create an account and provide accurate, complete information. You are responsible for:
- Maintaining the confidentiality of your account credentials
- All activities that occur under your account
- Notifying us immediately of any unauthorized use of your account
You must be at least 18 years old and have the authority to bind your organization to these Terms.
04Authorized Use
You may use the Service only for lawful business purposes. You agree not to:
- Use the Service to violate any applicable law or regulation
- Attempt to gain unauthorized access to any part of the Service or its systems
- Reverse engineer, decompile, or disassemble any part of the Service
- Use the Service to transmit malicious code, viruses, or harmful data
- Interfere with or disrupt the integrity or performance of the Service
- Share your account credentials or allow unauthorized third parties to access your account
- Use the Service to scrape, harvest, or collect data for purposes other than your own business analytics
05Data Sources & Third-Party Integrations
The Service integrates with third-party platforms including Amazon Seller Central, Shopify, Meta Ads, Google Ads, TikTok, and others. By connecting a data source, you represent that:
- You have the authority to grant us access to the data from that platform
- Your use of the data through our Service complies with the third-party platform's terms of service
- You are responsible for maintaining valid authorization with each connected platform
We are not responsible for changes, outages, or data availability issues caused by third-party platforms.
06Data Ownership
You retain all ownership rights to your business data. By using the Service, you grant us a limited, non-exclusive license to access, process, and store your data solely for the purpose of providing the Service to you. We do not sell, trade, or share your data with third parties except as described in our Privacy Policy.
07AI-Generated Insights
The Service uses artificial intelligence to generate analytics, recommendations, and strategic insights. You acknowledge that:
- AI-generated content is provided for informational purposes only and should not be treated as professional financial, legal, or business advice
- Insights are based on the data available and may not account for all factors relevant to your business decisions
- You are solely responsible for any business decisions made based on information provided by the Service
08Subscription Plans & Payment
The Service offers various subscription plans with different features and usage limits. By selecting a plan, you agree to pay the applicable fees. Subscription details:
- Fees are billed in advance on a monthly or annual basis
- Subscriptions auto-renew unless cancelled before the renewal date
- Downgrades take effect at the end of the current billing period
- Refunds are not provided for partial billing periods
- We reserve the right to change pricing with 30 days advance notice
09Usage Limits
Each subscription plan includes usage limits (queries per month, number of brands, team seats). If you exceed your plan's limits, access to certain features may be restricted until the next billing period or until you upgrade your plan.
10Service Availability
We strive to maintain high availability of the Service but do not guarantee uninterrupted access. We may temporarily suspend the Service for maintenance, updates, or circumstances beyond our control. We will make reasonable efforts to provide advance notice of planned downtime.
11Intellectual Property
The Service, including its design, features, code, algorithms, and documentation, is the intellectual property of Synthesis Intelligence, Inc. and is protected by copyright, trademark, and other intellectual property laws. You may not copy, modify, distribute, or create derivative works based on the Service.
12Data Security
We implement industry-standard security measures to protect your data, including encryption in transit and at rest, role-based access controls, and tenant-isolated data storage. For full details, see our Security Overview and Privacy Policy.
13Termination
Either party may terminate this agreement at any time:
- By you. Cancel your subscription through your account settings or by contacting support. Access continues until the end of the current billing period.
- By us. We may suspend or terminate your account if you violate these Terms, fail to pay fees, or if required by law. We will provide notice except in cases of fraud or security threats.
Upon termination, we will delete your data within 30 days unless required by law to retain it. You may request a data export before termination.
14Limitation of Liability
To the maximum extent permitted by law:
- The Service is provided "as is" without warranties of any kind, express or implied
- We are not liable for any indirect, incidental, special, consequential, or punitive damages
- Our total liability for any claims arising from your use of the Service shall not exceed the amount you paid us in the 12 months preceding the claim
- We are not liable for losses resulting from business decisions made based on AI-generated insights
15Indemnification
You agree to indemnify and hold harmless Synthesis Intelligence, Inc., its officers, directors, and employees from any claims, damages, or expenses arising from your use of the Service, your violation of these Terms, or your violation of any third-party rights.
16Copyright & DMCA Policy
We respect intellectual property rights and expect our users to do the same. The Service allows you to upload documents and connect data sources. You are responsible for ensuring you hold the necessary rights to any material you upload.
Reporting infringement. If you believe material stored on the Service infringes your copyright, send a written notice to our designated agent below. To be effective under 17 U.S.C. § 512(c)(3), your notice must include:
- A physical or electronic signature of the copyright owner or a person authorized to act on their behalf
- Identification of the copyrighted work claimed to have been infringed
- Identification of the material claimed to be infringing, with enough detail for us to locate it
- Your contact information, including address, telephone number, and email address
- A statement that you have a good-faith belief the use is not authorized by the copyright owner, its agent, or the law
- A statement, under penalty of perjury, that the information in the notice is accurate and that you are authorized to act on the copyright owner's behalf
What we do. On receipt of a valid notice we will promptly remove or disable access to the material and make a reasonable effort to notify the customer who uploaded it.
Counter-notification. If you believe your material was removed by mistake or misidentification, you may send a counter-notice containing your signature, identification of the removed material and its former location, a statement under penalty of perjury that the removal resulted from mistake or misidentification, and your consent to the jurisdiction of the federal court for your district (or the Central District of California if you are outside the United States). We may restore the material in 10–14 business days unless the original complainant files a court action.
Repeat infringers. We will terminate, in appropriate circumstances, the accounts of customers who are repeat infringers.
Misrepresentation. Under 17 U.S.C. § 512(f), anyone who knowingly materially misrepresents that material is infringing — or was removed by mistake — may be liable for damages.
17Governing Law
These Terms are governed by the laws of the State of California, United States, without regard to its conflict of law provisions. Any disputes arising from these Terms shall be resolved in the courts of Los Angeles County, California.
18Changes to Terms
We may update these Terms from time to time. We will notify you of material changes by posting the updated Terms on this page with a revised "Last updated" date and, where appropriate, by email. Continued use of the Service after changes take effect constitutes acceptance of the updated Terms.
